Welcome to Brackets ("App", "Service"), operated by NotNull LLC ("Company", "we", "us", or "our"). By accessing or using our App, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms
By creating an account or using Brackets, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify users of material changes through the App or via email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
2. Eligibility
To use Brackets, you must:
- Have the capacity to enter into this agreement (if you are under 18, you must have your parent or guardian's permission to use the Service)
- Not be prohibited from using the Service under applicable laws
- Provide accurate and complete registration information
By using the Service, you represent and warrant that you meet all eligibility requirements.
3. User Accounts and Registration
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
3.2 Username Policy
Your username must not:
- Impersonate another person or entity
- Contain offensive, vulgar, or inappropriate language
- Violate any trademark or intellectual property rights
- Mislead other users about your identity or affiliations
We reserve the right to reclaim or modify usernames that violate these policies.
3.3 One Account Per Person
Each user may maintain only one account. Creating multiple accounts may result in termination of all associated accounts.
4. Financial Verification Feature
4.1 Purpose
Brackets offers an optional financial verification feature that allows users to verify their financial standing and participate in tier-based communities.
4.2 Verification Process
- Financial verification is conducted through secure third-party services
- Verification determines your tier placement based on verified financial criteria
- Your exact financial information is not stored or displayed to other users
- Only your verified tier status is visible to other users
4.3 Accuracy and Honesty
You agree to provide truthful information during the verification process. Attempting to falsify or manipulate verification results is prohibited and may result in immediate account termination.
4.4 No Financial Advice
Brackets does not provide financial advice, investment recommendations, or endorsements. The tier system is purely for community organization purposes. You should consult qualified financial professionals for financial decisions.
5. User-Generated Content
5.1 Community Standards & Zero-Tolerance Policy
Brackets maintains a zero-tolerance policy for objectionable content and abusive users. We are committed to maintaining a safe and respectful community for all users.
- Any content that is objectionable, offensive, or violates these Terms will be immediately removed upon discovery or report.
- Users who post objectionable content or engage in abusive behavior will have their accounts suspended or permanently terminated.
- We will act on all reports of objectionable content or abusive behavior within 24 hours by removing the offending content and taking appropriate action against the responsible user, up to and including permanent account termination.
- Users are expected to report objectionable content or abusive behavior using the in-app reporting tools.
5.2 Your Content
You retain ownership of content you post ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, modify, display, and distribute your User Content in connection with operating the Service.
5.3 Content Standards
You agree not to post content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Infringes on intellectual property rights of others
- Contains viruses, malware, or harmful code
- Promotes illegal activities or violence
- Contains personal or confidential information of others without consent
- Is spam, advertising, or promotional material (unless authorized)
- Impersonates another person or entity
- Contains sexually explicit or pornographic material
- Promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age
- Violates any applicable laws or regulations
5.4 Content Moderation
We reserve the right to review, remove, or disable access to any User Content that violates these Terms or that we find objectionable, without prior notice. In accordance with our zero-tolerance policy:
- Reported content will be reviewed and, if found in violation, removed within 24 hours of the report being received.
- Users who repeatedly or egregiously violate the Content Standards will be ejected from the Service through immediate account suspension or permanent termination.
- We employ a combination of automated systems and human review to proactively identify and remove objectionable content.
5.5 Reporting
Users can report content or accounts that violate these Terms using the in-app reporting tools. We will review all reports promptly and take appropriate action, including content removal and user account termination where warranted, within 24 hours.
5.6 Child Safety — Prohibition of Child Sexual Abuse and Exploitation (CSAE)
Brackets, operated by NotNull LLC, maintains an absolute zero-tolerance policy regarding Child Sexual Abuse and Exploitation (CSAE). The safety of minors is paramount, and we strictly prohibit the following on our platform:
- Child Sexual Abuse Material (CSAM): Any visual, written, or other content that depicts, describes, or promotes the sexual abuse or exploitation of minors.
- Sexualization of Minors: Any content that sexualizes children or minors in any way, including but not limited to suggestive imagery, inappropriate commentary, or AI-generated content involving minors.
- Grooming and Predatory Behavior: Any attempt to establish inappropriate relationships with minors, solicit minors for sexual purposes, or facilitate contact with minors for the purpose of exploitation.
- Sextortion of Minors: Any attempt to coerce, blackmail, or threaten a minor using sexual content or imagery.
- Child Sex Trafficking: Any content or conduct that facilitates, promotes, or coordinates the trafficking of minors for sexual purposes.
- Endangerment of Minors: Any content or behavior that puts minors at risk of physical, emotional, or psychological harm, including sharing personal information about minors without proper authorization.
Enforcement:
- Violations of this policy will result in immediate and permanent account termination without prior warning.
- We will report all identified CSAE content and associated account information to the National Center for Missing & Exploited Children (NCMEC) and other relevant law enforcement authorities as required by applicable law.
- We cooperate fully with law enforcement investigations related to CSAE.
- We employ proactive detection measures, including automated scanning and human review, to identify and remove CSAE content.
Reporting:
If you encounter any content on Brackets that you believe constitutes CSAE or endangers a minor, please report it immediately using the in-app reporting tools or by contacting us directly at support@brackets.social. All reports involving minors are treated with the highest priority and will be acted upon immediately.
This policy applies to all users of the Brackets app and all content shared through the Service, without exception.
6. User Conduct
You agree to:
- Use the Service only for lawful purposes
- Respect other users and their privacy
- Not harass, bully, or intimidate other users
- Not engage in fraudulent or deceptive practices
- Not attempt to gain unauthorized access to the Service or other accounts
- Not interfere with or disrupt the Service
- Not use automated systems or bots without authorization
- Not post, share, or distribute any content that constitutes Child Sexual Abuse and Exploitation (CSAE) or endangers minors in any way (see Section 5.6 — Child Safety)
- Comply with all applicable laws and regulations
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its design, features, functionality, and content (excluding User Content), is owned by NotNull LLC and protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.
7.3 Restrictions
You may not:
- Copy, modify, or distribute the Service or its content
- Reverse engineer or attempt to extract source code
- Remove or alter any proprietary notices
- Use the Service for commercial purposes without authorization
8. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Third-Party Services
The Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your interactions with third-party services are governed by their respective terms and policies.
10. Termination
10.1 Termination by You
You may terminate your account at any time by deleting your account through the App settings or by contacting us at support@brackets.social.
10.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion.
10.3 Effect of Termination
Upon termination:
- Your right to access the Service will cease immediately
- We may delete your User Content
- Provisions of these Terms that should survive termination will remain in effect
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- The quality of the Service will meet your expectations
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTNULL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless NotNull LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another party
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at support@brackets.social to attempt to resolve any dispute informally.
14.2 Arbitration
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
14.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and NotNull LLC regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
16.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
